My understanding:

Prep School: You're close to qualifying. You only lack a class or two. Grades are generally not the issue.

JUCO: Grades are more of the issue. They're simply not high enough to qualify. You have to prove you can do it academically in JUCO before being admitted to a 4 year school.

Think of it this way. If you couldn't get into AU out of high school due to grades, you could go to Southern Union and get your AA. At that point you can transfer to AU.

Prep school is an extension of high school. A player who goes to prep school can sign the following year and be a true freshman with five years to play four. Junior college starts a players eligibility clock. A player who goes to junior college because he didn't qualify academically must graduate from junior college to sign with a four-year school.
